Terms & Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Empower Virtual Holdings LLC, doing business as SideoutIQ ("SideoutIQ," "we," "us," or "our") governing your access to and use of the SideoutIQ platform, website, mobile applications, and all associated services (collectively, the "Service").

By creating an account, clicking "I Agree," or otherwise accessing or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time. Continued use of the Service after notice of any change constitutes your acceptance of the updated Terms.

The following terms have specific meanings throughout this Agreement:

"Service"

The SideoutIQ web application, APIs, mobile interfaces, and all related software, tools, and documentation made available by SideoutIQ, whether accessed through a Standard or Pro account.

"Standard Features"

The no-cost tier of the Service, which includes roster and player management, team organization, basic game tracking, and standard match statistics. Standard Features are provided free of charge subject to these Terms.

"Pro Features"

The premium, subscription-based tier of the Service, which includes — but is not limited to — Suggested In-Game Tactics, Practice Builder, Smart Scheduling, advanced analytics dashboards, multi-team management, and priority support.

"User Data"

Any content, information, statistics, player records, or other data you or your organization input, upload, or generate within the Service.

"Subscription Period"

The recurring billing cycle (monthly or annual) for which Pro Features are purchased, beginning on the date of initial purchase or renewal.

To access most features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

Age Requirements

The Service is not directed to children under 13 years of age. In compliance with the Children's Online Privacy Protection Act (COPPA), we do not knowingly collect personal information from children under 13 without verifiable parental consent.

• You must be at least 13 years of age to create an account.
• Users between 13 and 18 years of age must have explicit parental or guardian consent before using the Service.
• Coaches or administrators creating accounts on behalf of minor athletes are responsible for obtaining all necessary parental consents.
• If we discover that a child under 13 has provided personal information without parental consent, we will delete that information promptly.

Account Security and Acceptable Use

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Keep your password secure and not share it with any third party.
• Immediately notify SideoutIQ at support@sideoutiq.com of any unauthorized access or suspected breach.
• Not create accounts using automated means or under false pretenses.
• Not transfer or sell your account to another person.
• Not upload, post, or transmit any User Data that is unlawful, offensive, discriminatory, or infringes upon the intellectual property or privacy rights of any third party.

SideoutIQ will not be liable for any loss or damage arising from your failure to comply with these security obligations.

Pro Features are available through a recurring paid subscription. All billing is handled securely by our third-party payment processor, Stripe, Inc., and is subject to Stripe's Terms of Service.

Billing & Renewal

• Subscriptions are billed in advance on a monthly or annual basis depending on the plan you select at checkout.
• Your subscription will automatically renew at the end of each Subscription Period unless you cancel before the renewal date.
• By providing payment information, you authorize SideoutIQ to charge your payment method for all applicable fees.
• SideoutIQ reserves the right to change subscription pricing with at least 30 days' advance written notice. Your continued use of Pro Features after the notice period constitutes acceptance of the new pricing.

Cancellation

• You may cancel your Pro subscription at any time through your account settings.
• Cancellation takes effect at the end of the current Subscription Period. You will retain access to Pro Features until that date.
• SideoutIQ does not provide refunds for partial Subscription Periods, except where required by applicable law or where SideoutIQ has caused a material service failure.
• Downgrading to Standard does not delete your data; however, access to Pro-exclusive data views and exports will be suspended.

The rights to the Service and its components are divided between SideoutIQ and you as follows:

SideoutIQ Owns

All right, title, and interest in and to the Service — including the software, source code, algorithms, machine-learning models, user interface designs, brand assets (names, logos, marks), proprietary data analytics methods, and all intellectual property embodied therein — are and shall remain the exclusive property of SideoutIQ. These Terms do not grant you any ownership rights in the Service.

Subject to your compliance with these Terms, SideoutIQ grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal coaching and team-management purposes.

You Own Your Data

You retain full ownership of all User Data — including player statistics, game records, lineup configurations, and coaching notes — that you input into the Service. You grant SideoutIQ a limited, royalty-free license to host, process, and display your User Data solely as necessary to provide the Service to you.

• We will never sell your identifiable team or player data to third parties.
• Aggregated, anonymized performance data may be used to improve our platform.
• You can export your data at any time from Settings → Data Export.
• Upon account termination, you have 30 days to export your data before it is permanently deleted.

Certain Pro Features — specifically Suggested In-Game Tactics and Practice Builder — use algorithms to analyze your team's historical data and generate coaching recommendations. This section governs the nature and limitations of those features.

Suggested In-Game Tactics

Suggested In-Game Tactics ("Tactics Suggestions") are algorithmic recommendations designed to surface statistically probable high-percentage plays based on current rotation, opponent tendencies, and scouting data. Tactics Suggestions are:

• Purely informational and advisory in nature.
• Generated from historical data patterns and probabilistic models — not live scouting intelligence.
• Subject to the quality and completeness of data you have recorded in the Service.
• Not a substitute for real-time coaching judgment, player feedback, or in-game situational awareness.

Practice Builder

Practice Builder generates structured training sessions and drill sequences by analyzing your team's statistical weaknesses and development goals. Like all Pro Features, Practice Builder recommendations are starting points for professional coaching decisions, not prescriptions.

No Guarantee of Results

To the fullest extent permitted by applicable law, SideoutIQ, its officers, directors, employees, agents, and licensors shall not be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages — including, without limitation, loss of profits, goodwill, data, or other intangible losses — arising out of or in connection with:

• Your use of, or inability to use, the Service.
• Unauthorized access to or alteration of your transmissions or data.
• Any reliance on Pro Feature suggestions or algorithmic output.
• Service interruptions, downtime, or data loss caused by technical failures.
• Conduct or content of any third party in connection with the Service.

In no event shall SideoutIQ's total aggregate liability to you exceed the greater of (a) the total fees actually paid by you to SideoutIQ in the twelve (12) months immediately preceding the claim, or (b) one hundred U.S. dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Termination by You

You may stop using the Service and close your account at any time by navigating to Settings → Account → Delete Account. If you have an active Pro subscription, you should cancel it before deleting your account to avoid further charges.

Suspension or Termination by SideoutIQ

SideoutIQ may suspend, limit, or terminate your access to the Service, with or without notice, if:

• You breach any provision of these Terms.
• Your account is used for fraudulent, abusive, or illegal activity.
• You fail to pay any fees owed for Pro Features.
• Your continued use creates legal risk or technical harm to the Service or other users.
• We are required to do so by law or court order.

Effect of Termination

Upon termination of your account for any reason:

• Your right to access the Service immediately ceases.
• Any outstanding fees become immediately due and payable.
• Your User Data will be retained for 30 days, during which you may request an export. After 30 days, all User Data will be permanently deleted.
• Sections of these Terms that by their nature should survive termination (including Intellectual Property, Limitation of Liability, and this section) shall survive.

If your account is terminated by SideoutIQ for a violation of these Terms, you are prohibited from registering a new account without our express written permission.

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in the State of Wyoming, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
